Source text - English WHEREAS, SIII is the one hundred percent (100%) sole member of S. Colombia;
WHEREAS, SIII has provided certain information technology and computer support services to S. Colombia for use in S. Colombia’s operations in exchange for reimbursement of the costs and expenses of such services; and
WHEREAS, the parties desire to memorialize their understanding and the terms and conditions of the provision of the aforementioned services as set forth in this Agreement.
NOW, THEREFORE, in consideration of the foregoing and the respective agreements, benefits and obligations hereinafter, the parties agree as follows:
Section 1. Engagement
S. Colombia engages SIII to provide technology support services and such other related services as set forth in this Agreement, and SIII agrees to provide such services on the terms and conditions set forth herein.
Translation - Spanish CONSIDERANDO que SIII es el socio único al cien por cien (100%) de S. Colombia;
CONSIDERANDO que SIII ha prestado ciertos servicios de tecnología de la información y apoyo informático a S. Colombia para su uso en las operaciones de S. Colombia a cambio del reembolso de los costos y gastos de dichos servicios; y
CONSIDERANDO que las partes desean dejar constancia de su entendimiento y de los términos y condiciones de la prestación de los mencionados servicios, tal como se establece en el presente Acuerdo.
AHORA, POR LO TANTO, en consideración de lo anterior y de los respectivos acuerdos, beneficios y obligaciones en adelante, las partes acuerdan lo siguiente:
Sección 1. Compromiso
S. Colombia contrata a SIII para proporcionar servicios de soporte tecnológico y otros servicios relacionados como se establece en este Acuerdo, y el SIII se compromete a proporcionar dichos servicios en los términos y condiciones aquí establecidos.
