Les Parties s'obligent l'une envers l'autre et réciproquement à exécuter la présente transaction et les conséquences qui en découlent dans le respect de la plus parfaite loyauté.
Le présent Protocole Transactionnel est établi conformément aux dispositions des articles 2044 et suivants du Code civil.
Il revêt entre les Parties et vis-à-vis des tiers l'autorité de la chose jugée conformément aux dispositions de l'article 2052 du Code civil.
Article 6 - Etendue
II est convenu entre les Parties que l'ensemble des droits et obligations résultant du présent Protocole Transactionnel s'impose et bénéficie à toute personne physique ou morale contrôlant, contrôlée par, ou sous contrôle commun avec l'une des Parties, en capital ou en droit de vote, ainsi qu'à l'ensemble des mandataires sociaux, salariés, dirigeants, actionnaires et toutes personnes subordonnées à l'une de ces entités.
Article 7 - Frais et honoraires
Chaque partie conservera à sa charge les frais, dépens et honoraires exposés par chacune d’elle à l’occasion de la signature du présent Protocole Transactionnel.
Article 8 - Confidentialité
Les Parties conviennent que l'existence et le contenu du présent Protocole Transactionnel sont strictement confidentiels, sauf à l'égard de toute personne à qui elle devrait assurer cette communication en vertu d'une obligation légale ou réglementaire et/ou pour les besoins de son exécution.

The Parties shall be bound one to the other and vice versa to execute the present agreement and consequences thereof with utmost loyalty.
This Settlement Agreement is established in accordance with the provisions of Articles 2044 et seq of the French Civil Code.
It shall assume the authority of res judicata between the Parties and with respect to third parties, in accordance with the provisions of Article 2052 of the French Civil Code.
Article 6 - Scope
It is agreed between the Parties that all rights and obligations arising from this Settlement Agreement shall be binding and beneficial to any natural or legal person controlling, controlled by, or under common control with one of the Parties, in share capital or voting rights, as well as to all corporate officers, employees, officers, directors, shareholders and all persons subordinate to any one of these.
Article 7 - Fees and expenses
Each party shall bear the costs, expenses and fees incurred by them in connection with the signing of this Settlement Agreement.
Article 8 - Confidentiality
The Parties agree that the existence and content of this Settlement Agreement are strictly confidential, except with respect to any person required to communicate them as part of a legal or regulatory obligation and/or for the purposes of its execution.
The Parties further undertake to refrain from any internal or external communication regarding the dispute between them and its outcome.

Texte source - français Le café représente actuellement le premier produit agricole d’exportation du Laos, source de revenus pour le pays et d’amélioration de la balance commerciale. La production est concentrée principalement sur le plateau des Bolovens dans le Sud (95 % de la production nationale), et repose sur une agriculture essentiellement familiale. Depuis quelques années, des plantations industrielles se développent rapidement dans le Nord. Le modèle de production promu par ces entreprises pose des questions en termes de durabilité écologique et économique (modèles de plantation visant essentiellement les volumes de production : forte densité, pas d’ombrage, apports importants en intrants chimiques). Or, l’un des enjeux de la « Stratégie Nationale Café » adoptée par le gouvernement du Laos en 2014, est de promouvoir des modèles alternatifs respectueux de l’environnement, visant la production d’un café de qualité tournée vers le marché, maintenant la place des petits producteurs dans les processus de production et leur assurant une meilleure part de la valeur ajoutée de la filière.

The product is mainly concentrated in the Bolovens plateau in the south of the country (95% of national production) and is largely reliant on family farming. For several years, industrial production in the north of the country has undergone rapid development. The production model promoted by these companies raises questions in terms of ecological and economic sustainability (the planting models are essentially aimed at production volume: high density, without shade, and with significant chemical additives). One of the challenges for the ‘National Coffee Strategy’ introduced by the Lao government in 2014 is to promote alternative models that respect the environment. The aim is to produce market-oriented coffee while maintaining small producers’ position in the production process and offering them a larger share of the sector’s added value.
