English to Spanish Law/Patents IT (Information Technology) Product Contract

If, in XXX’s opinion, any Product is infringing or may be held to be infringing, XXX may, at XXX’s option (a) modify the Product to make it non-infringing, (b) replace the Product with a non-infringing equivalent, or (c) require that Licensee return such Product and in such cases, XXX will give Licensee a pro-rated refund of all license fees paid for such Product on a five-year, straight-line depreciation basis.
