Adoptés par la Réunion du Conseil Permanent
Silver Spring, le 20 Septembre 2008
TITRE I
CREATION – DENOMINATION –SIEGE
Article 1 :
Il est fondé entre les adhérents aux présents statuts une organisation à but non lucratif et apolitique régie par la loi américaine de l’Etat du Maryland aux Etats-Unis, dénommée « XYZ »
Article 2 :
Le siège social d'XYZ est fixé au 1812, Greenwich Wood drive 32, Silver Spring MD 20903 USA. Toutefois, le siège peut-être transféré en tout autre lieu du territoire américain par simple décision du Conseil Permanent.
TITRE II
OBJET ET NATURE
Article 3 : Objectifs
XYZ a pour objectifs de :
• promouvoir les talents de femmes dans tous les secteurs d’activité
• promouvoir et développer l’entreprenariat féminin à travers le monde
• établir des perspectives d’action et une planification stratégique à court, moyen et long terme, avec les organisations existantes tant dans la diaspora que sur le continent africain;
• améliorer les conditions de travail et de vie des femmes, notamment dans le domaine de l’environnement, des opportunités d’investissement et des barrières commerciales.
• être un tremplin de coordination des nouveaux marchés,
• valoriser le savoir-faire des femmes.
• développer la coopération en milieu d’affaires.
• détecter des talents, soutenir l’innovation et la recherche dans le cadre d’une pluridisciplinarité des relations d’affaires.
• favoriser les transferts de technologies et de compétences entre différents partenaires.
• Intensifier le dialogue des cultures et des civilisations ; au rapprochement des peuples descendant d’Afrique par leur connaissance mutuelle,
• Créer un fonds de soutien aux activités des membres d'XYZ,
• D’agir dans le sens de l’Union Africaine « Vers la réalisation d’une Afrique et de sa diaspora unie et intégrées : une vision partagée pour un développement durable visant à relever les défis communs. »
Article 4 :
L’évolution des activités peut assigner d’autres objectifs à d'XYZ. XYZ respecte la souveraineté des États, leurs langues et leurs cultures. Elle observe la plus stricte neutralité dans les questions de politique. L’établissement des présents Statuts concoure à la réalisation de ces objectifs et au respect de ces principes.

L’ORGANISATION INSTITUTIONELLE
Article 5 : Les Institutions d'XYZ

Article 6: Conseil Permanent
Il adopte le budget et les rapports financiers d'XYZ ainsi que la répartition du Budget de fonctionnement des Représentations internationales.
Le Conseil permanent nomme le Commissaire aux comptes du Congrès international de la femme noire.
Le Conseil permanent demande au comité international de fournir toute information concernant l’utilisation du Fonds.
Le Conseil permanent est l’instance chargée de planifier et élaborer les politiques et programmes des institutions d'XYZ, d’organiser la préparation et le suivi des activités, avec la collaboration du comité international.
Le Conseil permanent est composé des membres fondateurs d'XYZ.
Le Conseil permanent est présidé par la présidente ou par un membre délégué par celle-ci.
Le Conseil permanent d'XYZ a pour missions :
1. de veiller à l’exécution des décisions prises par ses différentes institutions
2. d’examiner les propositions du comité international
3. d’examiner les rapports financiers et les prévisions budgétaires d'XYZ
4. d’examiner et d’adopter l’ordre du jour provisoire des différentes réunions
5. de remplir toute autre mission en rapport avec les objectifs d'XYZ. En tant que de besoin, la présidente réunit le Conseil permanent.
6. Les modalités de fonctionnement du Conseil permanent et des représentations internationales sont fixées par son Règlement intérieur et par le Manuel de Procédures.
Article 7 : Les Representations Internationales
Les Representations Internationales sont instituées dans les pays regroupant les membres d''XYZ dans le respect de la législation de chaque Etat. Les representations internationales travaillent en collaboration avec le Conseil Permanent et en application Règlement intérieur adapté aux spécificités de chaque pays.
Article 8 : Le congrès international de la femme noire
Le congrès international de la femme noire, organisation suprême d''XYZ, se compose de toutes les femmes du monde entier ayant ses objectifs en partage. Il se réunit chaque année ou sur décision par le Conseil permanent. Il est parrainé par la Première Dame du Pays hôte du Congrès, par toute autre autorité ou par un sponsor officiel. Toutes les Institutions d'XYZ œuvrent de concert pour la réalisation de ses objectifs qui s’activent et prennent leurs empreintes dans le congrès.
Article 9 : Conférence Ministérielle
La Conférence Ministérielle se tient lors des Congrès d'XYZ et se compose de tous les membres d’Africa Femmes Performantes inscrits au congrès et à jour de leur cotisation annuelle. La Conférence Ministérielle est co-présidée par au moins deux femmes ministres du Réseau d'XYZ et au moins deux femmes de la société civile.
La Conférence Ministérielle se prononce sur les meilleures politiques en faveur des femmes.
La Conférence ministérielle établit des axes d’action et veille à l’exécution des décisions arrêtées.
Article 10 : Le Conseil Scientifique
Le Conseil Scientifique travaille avec les Représentations Internationales et a pour mission :
• D’apporter une expertise ciblée pour la réalisation des projets de développement d’XYZ
• De délibérer sur les programmes d’activités spécifiques et de les soumettre à l’approbation du Conseil Permanent
• D’analyser et d’évaluer les actions nationales et internationales d’XYZ
• D’assurer toute mission spécifique d’analyse, d’évaluation ou de prospective scientifique confiée par le conseil Permanent
• De rédiger un rapport annuel sur son activité pour le Conseil Permanent
• De travailler sur un ensemble de démarches méthodologiques et instrumentales pour offrir les formations adéquates aux membres d'XYZ
• D’analyser la compréhension des situations de travail et la maîtrise des apports possibles de la formation pour l’amélioration des performances collectives et individuelles sur le plan mondial.
• De concevoir et mettre en œuvre des dispositifs de formation selon les besoins professionnels des membres d’XYZ.
• Tout membre actif du conseil Scientifique signe une clause de confidentialité.
Article 11 : Le Fonds de Soutien aux membres d'XYZ
Le Fonds de Soutien aux membres d'XYZ permet de soutenir les projets viables et la mise en œuvre des stratégies et des plans d’actions de développement. Le Fonds de Soutien prend également en compte les projets ou activités qui font partie des stratégies et plans d’actions relatifs aux objectifs d'XYZ ; il permet d’apporter une aide financière pour le démarrage ou l’expansion d’entreprises ou projets de ses membres actifs. Les projets admissibles, la nature de l’aide, et les modalités d’octroi des fonds sont régis par le Manuel des procédures établi par le Conseil Permanent d’XYZ.
TITRE IV
FONCTIONNEMENT GENERAL
Article 12 : Le fonctionnement général d'XYZ est régi par le Règlement intérieur adopté par le Conseil Permanent.
TITRE V
LES RESSOURCES ET LES FINANCES
Article 13 : Les Ressources d’XYZ
Les ressources d’ XYZ se composent proviennent de : cotisations annuelles et spéciale des membres ; dons et legs ; subventions nationales et internationales des gouvernements, des établissements publics ou prives, du produit des manifestations qu’elle organise, des intérêts et redevances des biens et valeurs qu’elle peut posséder, des rétributions
des services rendus ou des prestations fournies par l’organisation, de dons manuels, de toute autre ressource autorisée par la loi, notamment, le recours en cas de difficultés à un ou plusieurs emprunts bancaires ou privés.
XYZ remplit toutes taches d’études, d’information, de coordination et d’action. Elle est habilitée à opérer tout acte nécessaire à la poursuite de ses objectifs.
Article 14 : La Rémunération
Les fonctions des membres du Conseil Permanent et des Représentants internationaux sont bénévoles. Seuls les frais et débours occasionnés pour l’accomplissement du mandat d’administrateur sont remboursés au vu des pièces justificatives. Le rapport financier présenté à l’assemblée générale doit faire mention des remboursements de frais de mission, de déplacement ou de représentation payés à des membres du Conseil Permanent et des Représentations internationales.
TITRE VI
MODIFICATIONS - AMENDEMENTS
Article 15 :
Toute modification des présents statuts se fait en assemblée extraordinaire du conseil Permanent. Le Conseil permanent évalue les projets d’amendement de ses représentations internationales et décide de leur ratification en assemblée Générale.
Article 16 : La durée d’XYZ
La durée d’XYZ est illimitée. La dissolution d’XYZ ne peut être prononcée que par une assemblée générale mondiale convoquée expressément à cette fin. Le vote par procuration n’est admis que dans le cas d’une assemblée générale réunie pour étudier une proposition de dissolution d’XYZ. En cas de dissolution, la liquidation des biens d’XYZ se fera conformément à la réglementation américaine en vigueur ; elle attribue l’actif net à une ou plusieurs associations ayant les mêmes objectifs ou associations charitables.
TITRE VII
DISPOSITIONS DIVERSES
Article 17 : Responsabilité des membres
Aucun des membres d’XYZ n’est personnellement responsable des engagements contractés par elle. Seul le patrimoine de l’organisation répond de ses engagements. En matière de gestion, la responsabilité incombe, sous réserve d’appréciation souveraine des tribunaux, aux membres du conseil Permanent.
Article 17 : La personnalité juridique
XYZ possède une personnalité juridique. XYZ est une organisation apolitique ; c’est une personne morale de droit international public et possède la personnalité juridique. XYZ peut contracter, acquérir, aliéner tous biens mobiliers et immobiliers, ester en Justice.
XYZ collabore avec les diverses organisations internationales et régionales sur la base des principes et des formes de coopération multilatérale reconnus. Toutes les questions juridiques d'XYZ sont gérées par le bureau du procureur général des associations de l’Etat du Maryland aux Etats-Unis d’Amérique.
TITRE VIII
INTERPRETATION-REVISION-ENTREE EN VIGUEUR DES STATUTS
Article 18 : Interprétation des statuts
Toute décision relative à l’interprétation des présents statuts est prise par le Conseil Permanent.
Article 19 : Révision des statuts
Le Conseil Permanent a compétence pour amender les présents statuts.
Article 20 : Entrée en vigueur
Les présents statuts prennent effet à partir de son adoption par la Réunion du Conseil Permanent tenue à Silver Spring, le 20 Septembre 2008.

Tout cas non prévu dans le présent règlement d’ordre intérieur sera régi par les lois en vigueur des Etats-Unis d’Amérique.

OF
XYZ, Inc.
ARTICLE ONE: ORGANIZATION
1. The name of this organization shall be: XYZ, Inc
2. The organization shall have a seal which shall be in the following form:
Circular with two spots:
a. In the first circular spot, the name of the organization “XYZ, Inc. “is displayed from bottom upward and left to right.
b. The second spot which is the inner circle reads in its upper area: “ORGANIZED SEAL” with the word “ORGANIZED” in circular display from left to the right and the word “SEAL” in horizontal display under the word “ORGANIZED”.
The lower half inner circle contains in horizontal form the year “2009” and the State name “MARYLAND” displayed in circular form under “2009” from left to right.
3. The organization may not at its pleasure by a vote of the membership body change its name.
ARTICLE TWO – PURPOSES
The following are the purposes for which this organization has been created:
• Promote women’s talents in all sectors of activity
• Promote and develop women entrepreneurship throughout the world
• Establish perspectives of action and a strategic planning in the short, average and long term, with existing organizations as well in the diaspora as on the African continent;
• Improve working and living conditions of women, namely in the domain of environment, investment opportunities and commercial barriers.
• Be a threshing ground for the coordination of new markets,
• Value the know-how of women.
• develop cooperation in business.
• Detect talents, support innovation and make research multi-disciplinary in business relationships.
• Favor transferts of technologies and of competences between different partners.
• Intensify the dialogue of cultures and civilisations, towards the connection of peoples descendent of Africa through their mutual sharing,
• Create a support fund to the activities of the members of XYZ,
• Act in the sense of African union «Toward the realization of an Africa and of its Diaspora united and integrated: a common vision for a sustainable development aiming to alleviate common challenges».
ARTICLE THREE – MEMBERSHIP
Membership in this organization shall be open to all persons who share the objectives of XYZ with no discrimination of age, sex, gender, nationality, religion, political opinion or membership in any certain organization.
ARTICLE FOUR – MEETING
The annual membership meeting of this organization shall be held on the 22nd day of January each and every year except if such day be a legal holiday than and in the event the Board of Directors shall fix the day but it shall not be more than two weeks from the date fixed by these bylaws.
The Secretary will cause to be mailed to every member in good standing at his or her address as it appears in the membership roll book of this organization a notice telling the time and place of such annual meeting.
Regular meeting of this organization will be held in the United States of America.
The presence of not less than 50% of members will constitute a quorum and will be necessary to conduct the business of this organization; but a lesser number may adjourn the meeting for a period of not more than four (4) weeks from the date scheduled by these bylaws and the secretary will cause a notice of this scheduled meeting to be sent to all those members who were not present at the meeting originally called. A quorum as hereinbefore set forth shall be required at any adjourned meeting.
Special meetings of this organization may be called by the President when she deems it for the best interest of the organization. Notices of such meeting will be mailed to all members at their addresses as they appear in the membership roll book at least but not more than ten (10) days before the scheduled date set for such special meeting. Such notice will state the reasons that such meeting has been called, the business to be transacted at such meeting and by whom called.
Article Four (continued)
At the request of __75%__of members of the Board of Directors or __75% of __ members of the organization the President shall cause a special meeting to be called but such request must be made in writing at least _ten (10)_ days before the requested scheduled date.
No other business but that specified in the notice may be transacted at such special meeting without the unanimous consent of all present at such meeting.
ARTICLE FIVE – VOTING
At all meetings, except for the election of officers, and directors, all votes shall be viva voce, except that for election of officers ballots shall be provided and there shall not appear any place on such ballot any mark or marking that might tend to indicate the person who cast such ballot.
At any regular or special meeting if a majority so required any question may be voted upon in the manner and style provided for election of officers and directors.
At all votes by ballot the chairman of such meeting shall immediately prior to the commencement of balloting appoint a committee of three who shall act as ‘inspectors of election” and who shall at the conclusion of such balloting certify in writing to the chairperson the results and the certified copy shall be physically affixed in the minute book to the minutes of that meeting.
No inspector of election shall be candidate for office or shall be personally interested in the question voted upon.
ARTICLE SIX – ORDER OF BUSINESS
1. Roll call
2. Reading of the minutes of the preceding meeting
3. Reports of committees
4. Reports of officers
5. Old and unfinished business
6. New business
7. Good and welfare
8. Adjournments.
ARTICLE SEVEN – BOARD OF DIRECTORS
The business of this organization shall be managed by a Board of Directors consisting of six (6) members together with the officers of this organization.
The directors to be chosen for the ensuing year shall be chosen at the annual meeting of this organization in the same manner and style as the officers of this organization and they shall serve for a term of ____ years.
The Board of Directors shall have the control and management of the affairs and business of this organization when it shall be regularly convened by its chairman after due notice to all the dir3ectors of such meeting.
75% of the members of the Board of Directors shall constitute a quorum and the meetings of the Board of Directors shall be held regularly on the _________________________________.
Each Director shall have one (1) vote and such voting may not be done by proxy.
The Board of Directors may make such rules and regulations covering its meetings as it may in its discretion determine necessary.
Vacancies in the Board of Directors shall be filled by a vote of the majority of the remaining members of the Board of Directors for the balance of the year.
The President of the organization by virtue of the office shall be chairperson of the Board of Directors. The Board of Directors may entertain charges against any director. A director may be represented by counsel upon any removal hearing. The Board of Directors shall adopt such rules as it may in its discretion consider necessary for the best interest of the organization, for this hearing.
ARTICLE 8 – OFFICERS
The officers of the organization shall be as follows:

CEO: RST
Secretary: BL
Treasurer: HG
The president shall preside at all membership meetings, by virtue of the office of chairperson of the Board of Directors, present at each annual meeting of the organization an annual report of the work of the organization, appoint all committees, temporary or permanent, see all books, reports and certificates as required by law are properly kept or filed, be one of the officers who may sing the checks or drafts of the organization, and have such powers as may be reasonably constructed as belonging to the chief executive of any organization.
The CEO shall in the event of the absence or inability of the president to exercise his or her office become acting president of the organization with all the rights, privileges and powers as if he or she had been duly elected president.
The Secretary shall keep the minutes and records of the organization in appropriate books, file any certificate required by any statute, federal or state, give and serve all notices to members of the organization, be the official custodian of the records and seal of the organization, be one of the officers required to sign the drafts of the organizations, present to the membership at any meetings any communications addressed to the secretary of the organization, submit to the Board of Director any communications which shall be addressed to the secretary of the organization, attend to all correspondence of the organization and exercise all duties incident to the office of the secretary.
Article 8 – Officers (continued)
The Treasurer shall have the care and custody of all monies belonging to the organization, be solely responsible for such monies or securities of the organization and be one of the officers who shall sign checks or drafts of the organization. No special fund may be set aside that shall make it unnecessary for the treasurer to sign the checks issued upon it.
The Treasurer shall render at stated periods as the Board of Directors shall determine a written account of the finances of the organization and such report shall be physically affixed to the minutes of the Board of Directors of such meeting and shall exercise all duties incident to the office of the treasurer.
Officers shall by virtue of their office be members of the Board of Directors.
No officer or director shall for reason of the office be entitled to receive any salary or compensation, but nothing herein shall be constructed to prevent an officer or director for receiving any compensation from the organization for duties other than as a director or officer.
ARTICLE NINE - SALARIES
The Board of Director shall hire and fix the compensation of any and all employees which they in their discretion may determine to be necessary in the conduct of the business of the organization.
ARTICLE TEN – COMMITTEES
All committees of this organization shall be ____________________________ by the ___________________________ and their term of office shall be for a period of ________ or less if sooner terminated by the action of the _______________________________.
The Permanent Committees shall be the six (06) institutions of XYZ, as follows:
1. The Permanent Council
2. International Representations
3. The Congres of Black Woman
4. The Scientific Council
5. The Ministers Conference
6. The Support Fund
Article 10(a): The Permanent Council
It adopts the budget and financial statements of XYZ as well as the allocation of the executive budget to International Representations.
The Permanent Council nominates the executive auditor for the International Congres of Black Woman.
The Permanent Council requires the international committee to provide every information relating to the use of funds.
The Permanent Council is the entity in charge of XYZ, and of organizing the preparation and the follow-up of activities, with the collaboration of the international committee..
The Permanent Council is composed of founding members of XYZ.
The Permanent Council is presided over by the president or or by a member delegated by the president.
The missions of the Permanent Council of XYZ are as follows :
1. Ensure the execution of decisions made by the different institutions of XYZ
2. Examine proposals made by the International Committee
3. Examine financial statements and budget forecasts of XYZ
4. Examine and adopt the temporary agenda for diverse meetings
5. Assume any other mission in connection with the objectives of XYZ
6. As needed, the president calls meetings of the Permanent Council.
7. Business rules of the Permanent Council and of International Represntations are set forth in its Internal Ruling and in the Procedures Manual.
Article 10(b) : International Representations
International Representations are organized in the countries of members of XYZ with respect to the legislation of each State. International Representations work in collaboration with the Permanent Council in conformity with the Internal Ruling as adapted to specifications of each country.
Article 10(c): The International Congres of Black Woman
The International Congress of Black Woman, a supreme organization of XYZ, is composed of all women worldwide that share its objectives. It meets every year or upon decision by the Permanent Council. It is sponsored by the First Lady of the host country of the Congress, by any authority or by an official sponsor.. All institutions of XYZ work together for the for the implementation of these of its objectives that are embodied or imprinted in the Congress.
Article 10(d): The Ministers Conference
The Ministers Conference takes place during the Congresses of XYZ and is composed of all members of Africa Femmes Performantes that have registered to the Congress and that are clear of their annual contribution. The Ministers Conference is co-chaired by at least two women Ministers of the XYZ network and by at least two women of the civil society.
The Ministers Conference discusses about the best policies in favor of women.
The Ministers Conference establishes axes for action and ensures the execution of decisions made.
Article 10(e): The Scientific Council
The Scientific Council works with International Representations has as missions, the following:
• Provide a target expertise for the implementation of developping projects of XYZ Make decisions on specific activity programmes and submit these to the Permanent Council for approval
• Analyze and evaluate XYZ’s actions nationwide and internationally
• Perform any specific mission of analysis, evaluation or scientific audit required by the Permanent Coucil
• Work on a series of methodological procedures and tools aiming at providing members of XYZ with adequate trainings.
• Make an analysis for the understanding of working situations and the mastering of possible inputs for the improvement of performances as well for groups as for individuals worldwide.
• Conceive and implement training sessions materials with regard to the professional needs of members of XYZ.
• Submit an anuual report of its activity to the Permanent Council
• Every member in activity in the Scientific Council is required to sign a confidentiality clause.
Article 10(f): The Support Funds to members of XYZ
The Support Fund of XYZ enables to provide support to vital projects as well as the implementation of strategies and development action plans. The Support Fund also takes into consideration projects or activities that are in the framework of strategies and action plans relating to the objectives of XYZ. The Support Fund helps to provide a fiancial assistance for the launching or the expansion of enterprises or projects of active members of XYZ. Provisions relating to project eligibility, the nature of the assistance, and modalities of attribution of funds are set forth in the Procedures Manual as established by the Permanent Council of XYZ.
ARTICLE ELEVEN – DUES
The dues of this organization shall be:
1) $50.00 per annum and shall be payable on the __22nd___ day of ___January_.
2) $ 100.00 per annum for members who desire to support our peace activities
3) $ 150.00 per annum for members backing our activities favoring international solidarity.
ARTICLE TWELVE - AMENDMENTS
These bylaws may be altered, amended, repealed or added to by an affirmative vote of not less than __4/5___ members.
